December 28, 2016 - GI Sportz, Inc. and Valken, Inc. are both paintball manufacturers. Valken, Inc. was alleged to have violated certain intellectual property rights of GI Sportz, Inc. with respect to its Marballizer paintballs. HLF was asked to represent GI Sportz, Inc. as local counsel, along with the prominent Chicago firm of Neal Gerber & Eisenberg LLP. Counsel won the preliminary injunction stage.

September 9, 2016 - The Hanamirian Law Firm is representing the Rizzieri School for the Healing Arts, a South Jersey institution operating since 1928, in a wrongful expulsion claim by a former student. An article by reporter Jim Walsh in the September 6, 2016 edition of the Camden Courier-Post, Massage student sues over expulsion, describes the student’s claims and response from attorney John Hanamirian.
In her federal lawsuit, the student, Ka-Msiyara Corbett of Glassboro, contends she was falsely accused by a customer of sexual misconduct, leading to her expulsion. Corbett massaged the school’s customers as part of her training.
"Rizzieri schools have been educating students since the 1920's and do not, and have not, ever engaged in any discriminatory conduct," Hanamirian said.
The suit seeks unspecified damages, including the student’s tuition and lost income "that she could have commenced earning upon completion of the school." Hanamirian said the school had refunded the balance of her tuition before the suit was filed.
August 12, 2016 - Andrew Strickler reports in the August 12, 2016 edition of Law360 that a Pennsylvania lawyer lost his license Thursday following a conviction three years ago for stealing from a law firm and then failing to inform the bar of his legal troubles.The state Supreme Court agreed to disbar James P. Kennedy following his resignation from the practice of law last month and a consent agreement with the state disciplinary counsel. HLF managing shareholder John Hanamirian represented the law firm of Gregory Javardian, a collections, foreclosure and bankruptcy practice in Southampton, Pennsylvania. In the article Hanamirian states that all the allegations against Kennedy “happened within a very short period of time," and that all the missing money came from company-earned fees, not clients. "That was the very fortunate part for everyone, that no one was harmed except Mr. Javardian," he said. The case is Office of Disciplinary Counsel v. James P. Kennedy, case number 82 DB 2016, in the Supreme Court of Pennsylvania.

February 22, 2016 - HLF Founding Shareholder John Hanamirian recently served as a judge for the National Appellate Advocacy Competition at the United States District Court, Eastern District of Pennsylvania in Philadelphia. Hanamirian was one of a handful of accomplished attorneys from the Philadelphia metropolitan area asked to volunteer his time to judge this annual event.
The NAAC regional competition, organized by the American Bar Association’s Student Division, comprised of 32 trial teams vying for four available spots at the National Finals. Participating law students prepared for months for this competition. The Hanamirian Law Firm wishes those teams that have advanced the best of luck at the national finals, taking place in Chicago, Illinois, April 7-9, 2016.
December 14, 2015 - A dispute that started with an attempt to terminate the health care benefits and compensation of noted New Jersey healthcare lawyer Robert Conroy continued following his death with a disagreement regarding life insurance benefits due his estate. The matter has finally been settled, according to reporter David Gialanella in the December 8, 2015 New Jersey Law Journal. Kern Augustine in a Dec. 7 release announced the settlement, which resolves a dispute between the Bridgewater-based firm and the estate of Conroy, who died July 25 at age 62 after a 15-month bout with nonalcoholic liver cirrhosis.
The Dec. 3 agreement was confirmed by the estate's counsel, John Hanamirian.
One aspect of the resolution was made clear: the proceeds of a $250,000 life insurance policy—to which the firm and the estate had competing claims—was paid to Conroy's widow, Mary Conroy, Hanamirian said.
Hanamirian said he's "obviously very happy for the resolution" of the case.
"It was my hope that in pursuing the matter on behalf of Bob, that it gave him some satisfaction during his life," Hanamirian added.
In the October 28, 2015 edition of the New Jersey Law Journal, NJ Attorney’s Widow, Former Firm at Odds over Life Policy, reporter David Gialanella writes about the ongoing dispute between now-deceased New Jersey lawyer Robert Conroy and the firm that allegedly de-equitized him during a long illness, Kern Augustine Conroy & Schoppmann, involving a life insurance carrier unsure of whom should be paid $250,000 in benefits. Conroy, a noted healthcare lawyer, passed away on July 25th at the age of 62. John Hanamirian represented Robert Conroy and now represents his wife, Mary Conroy, and the estate.
"Any policies on Bob's life owned by the firm form the basis for a death buyout under the shareholders agreement and we are in the process of negotiating a global resolution of all issues that would include resolution of any dispute over that value,” Hanamirian told the Law Journal. "Our resolution would negate the necessity for any adjudication of the most recent filing in the United States District Court for the District of New Jersey.”
September 22, 2015 - A recent New York Post feature about HLF client Chuck Connelly asks whether a negative quote regarding a movie from the famed tabloid’s Page Six column in 1989 led to the artists’ downfall. The renowned New York artist broke a quarter century of silence to discuss the impact that the article had on his relationship with famed movie director Martin Scorsese, and his career. In the Scorsese movie that was discussed, “New York Stories: Life Lessons,” Connelly is portrayed by actor Nick Nolte.
While Connelly may have been out of the public eye, he continued to paint. The Post feature quotes Joe Borelli, who owns the Chestnut Hill Gallery in Philadelphia, as saying these hidden pieces are worth millions.
September 22, 2015 - HLF Founding Shareholder John Hanamirian, a member of the Board of Directors of the Philadelphia Theatre Company (PTC), was recently appointed Treasurer of the organization. On the heels of this role comes the great news that the troupe was able to buy back its’ home, the Suzanne Roberts Theatre. As reported in The Philadelphia Inquirer on September 18th, “After a long period of uncertainty that threatened its survival, Philadelphia Theatre Company has struck a sweet deal to buy back its home. The troupe on Thursday bought its space at Broad and Lombard Streets for $5 million from TD Bank, which had taken possession of its Suzanne Roberts Theatre after PTC stopped making mortgage payments in 2012; the bank later foreclosed.

August 30, 2015 - The question put forth in a recent Asbury Park Press article by reporter Jean Mikle is whether or not Toms River’s beach groups will sign new easements? Attorney John Hanamirian, in his role as president of the Chadwick Beach and Yacht Club on the northern barrier island, expressed concern that the previously agreed-upon terms were maintained. The easements are needed so a beach replenishment project can move forward on northern Ocean County’s barrier island—the continuing impact of superstorm Sandy in 2012.
“As long as they don’t compromise what was agreed to,” said Hanamirian. The Army Corps of Engineers and the state Department of Environmental Protection are crafting new easement language for more than a dozen beach associations to ink.
More than two years ago, Hanamirian wrote the supplemental easement agreement endorsed by the township’s beach associations.
The agreement included language limiting construction of bathrooms, showers, food stands, concessions or boardwalks, and also ensured beach associations that they will continue to be able to sell beach badges and maintain their beaches, according to the article.
Hanamirian said Chadwick Beach residents are most worried about being able to continue to own and maintain their beach.
“Our people are so concerned about losing their ownership,” Hanamirian said of his association. “We didn’t want to alter the landscape beyond what is required for the beach replenishment.”
August 10, 2015 - HLF Managing Shareholder John Hanamirian has been appointed as a Special Fiscal Agent (SFA) by Assignment Judge Yolanda Ciccone, Superior Court of New Jersey, in the matter of Corona Science & Technology Center v. Cheng, et al (Docket No. SOM-C-12027-13). SFA duties regard the facilitation of the dissolution of Corona Science & Technology Center in accordance with the Order and Opinion of the Court, including dissolution of the company as well as distribution of shares. As SFA of Corona Science, Hanamirian “is authorized to act with all power and authority to, amongst other things, enter the premises of the companies, oversee, monitor and report on the status of the assets and business operation of the companies.”
Hanamirian will be essentially running the business of the company during the pendency of the dispute. SFAs are often called upon to assist the courts in resolving complex matters, including protection of corporate assets and shareholders.
August 10, 2015 - It is with great sadness that the Hanamirian Law Firm announces the passing of noted healthcare lawyer and client Robert Conroy. In accordance with his wishes, a lawsuit against his former law firm, Kern Augustine Conroy & Schoppmann, will proceed on the estate’s behalf. Conroy passed away on July 25th at the age of 62 after a 15-month bout with nonalcoholic liver cirrhosis, six weeks after filing the civil suit.
“He wanted me to pursue it,” said his attorney, John Hanamirian, in a follow-up article by David Gialanella in the New Jersey Law Journal on July 29th. The article details the June 12th complaint filed in Somerset County Superior Court. The complaint asserts breach of contract, fraud, breach of the implied covenant of good faith and fair dealing, breach of fiduciary duty and minority shareholder oppression. It seeks declaratory relief, compensatory damages and punitive damages.
A July 21 hearing on the arbitrability of the dispute, which Conroy planned to attend, was moved to July 28 because he was scheduled to undergo an evaluation for a liver transplant on the former date, according to court documents. Unfortunately, Conroy passed away before having the opportunity.

June 18, 2015 - With no other viable options, the Philadelphia Hand Center’s Hand Rehabilitation Foundation (HRF) has sued the Albert Einstein Medical Center for much-needed funding for the non-profit to continue promoting important research and education to the global community. This action was precipitated by Einstein’s refusal to honor an obligation under a letter agreement in which Einstein agreed to donate $50,000 per year for five years to HRF. The plaintiff is represented by John Hanamirian of The Hanamirian Law Firm.
In exchange for PHC’s educational, administrative, teaching and supervisory services, Einstein agreed to, among other things, compensate PHC at fair market value and make it possible for PHC physicians to give a significant commitment to developing a quality hand surgery program at Einstein.
The Agreement between the parties stipulated that for a period of five years or until the hand fellowship was established, Einstein would donate $50,000 per year to the Hand Rehabilitation Foundation, a Pennsylvania 501(c)(3). The purpose of giving to HRF was to assure that the fellowship intent component of the agreement was achieved during the pendency of establishing an actual hand fellowship. This funding is critical to continuing the Foundation’s work. The suit was filed in the Court of Common Pleas, Philadelphia County, on June 19, 2015.

June 14, 2015 - While awaiting a lifesaving liver transplant, Kern Augustine Conroy & Schoppmann (KACS) attempted to terminate the health care benefits and compensation of founding shareholder Robert Conroy, considered by many to be one of the nation’s most influential healthcare attorneys. Diagnosed with cirrhosis of the liver in April 2014, Conroy began aggressive medical treatments. Less than one year later, his law firm sought to cease his compensation and benefits. In March 2015, the firm independently concluded that Conroy had become “disabled.”
Conroy v. Kern Augustine Conroy & Schoppmann, P.C., et al, was filed in the Superior Court of New Jersey on June 12, 2015. The suit was filed by Conroy’s attorney, John Hanamirian. The suit alleges breach of contract, fraud and statutory oppression and other shareholder-based statutory violations against the firm.
“To kick a founding shareholder to the curb in this situation is reprehensible and inhumane,” said Hanamirian, who was adverse to Conroy in a number of healthcare-related lawsuits in the past. “The firm has continued to trade on Robert’s name and reputation in the healthcare field throughout this difficult time. Yet, they choose to ignore his shareholder’s agreement and legacy for the sake of finances. Having someone try to take your health insurance and compensation away at the very time you have it and need it most is simply despicable.”
KACS, with offices in New Jersey, New York, Pennsylvania and Illinois, has been representing physicians and other healthcare professionals for over twenty-five years.
Conroy continues to await the liver transplant necessary for his survival.
May 3, 2015 - HLF Managing Shareholder John Hanamirian recently participated on a panel entitled, “The Case for Succession Planning: How to Steward the Transition of Your Business to Benefit Your Clients” at the Philadelphia Marriott West. Financial planners often follow the trend of many small businesses in the U.S.: they ultimately hand over the reins of their practices to a successor too late, failing to maximize value and realize their intended vision of succession. The two-part seminar explored how entrepreneurs and business owners can plan for a sale, partnership or transfer of responsibility, navigating the latticework of tangible and intangible factors that could impede progress. The first part of the program featured two presenters who explored how this arduous challenge represents a compelling opportunity for financial advisors, their clients, and the development of the next generation of industry leaders. The second part featured a discussion panel, including a financial planner, a foundation representative, a CPA, and a tax attorney. Topics included the proper way to structure the sale; considerations of taxation, retirement income planning, gifting, debt reduction, investments, cash flow and philanthropy, all featuring real world examples and best practices.

When Internal Revenue Service (IRS) agents raided popular Center City Philadelphia Restaurant Branzino recently, they counted on HLF shareholder John Hanamirian to guide them through a harrowing process. Hanamirian was on-site for the ten-plus hours in which IRS agents served a search warrant and took numerous boxes of evidence out with them throughout the day.
